Job Purpose (Job Summary):
The role is responsible for providing legal support for real estate transactional work across the Asia Pacific region ex-Japan for various fund strategies (Core, Value Add, Debt). The candidate will be an integrated member of the APAC Transaction team, working closely with other Transaction team members as well as Fund Managers, Asset Management, and other Invesco Real Estate Team members across the region. Candidates to be based in Hong Kong, Singapore or Sydney.

Key Responsibilities / Duties:

Acquisition related:

  • Reviewing, drafting, commenting on and negotiating NDAs, Expressions of Interests, MOUs (and other preliminary transaction agreements and documentation)
  • Discussing and brainstorming with Transaction team members on commercial, legal, structuring, and key risks relating to prospective investment opportunities at the initial stages of deal assessment
  • Identifying, processing and managing regulatory approvals or processes required for acquisitions (e.g. licensing/registration requirements, FIRB, OIO)
  • Reviewing and providing input on, and drafting legal aspects of, IC memos
  • Selection, co-operation and management of onshore and offshore legal service providers
  • Drawing up/reviewing the terms of engagement (e.g., scope of work, assumptions, fee arrangements) of external legal service providers (onshore and offshore) in support of transactions in various jurisdictions in APAC
  • Managing the establishment and implementation of investment structures, facilitating capitalization, fund flows and asset/investment management arrangements and all relevant supporting documentation,
  • liaising with acquisitions teams, fund accounting teams in relation to the same
  • Due diligence review, identification/assessment of and gatekeeping against risks, formulating solutions for issues and risk mitigants
  • Reviewing, managing and finalizing transaction legal documentation and execution in conjunction with external legal counsel
  • Facilitating internal approval processes, drafting and finalizing corporate authorization documentation, liaising with relevant parties for execution
  • Liaising with Corporate Legal Team in relation to aspects of transactions which involve corporate entities or require corporate legal input
  • Supporting the closing of transactions
  • Ensuring transaction execution is in alignment with IC approvals, Invesco policies and compliance requirements

    • Post-acquisition, Asset Management and Disposition

  • Ensuring ongoing compliance with regulatory requirements
  • Transition from acquisition to asset management
  • Re-financings
  • Tenancy issues
  • Potential litigation proceedings
  • Ad-hoc asset management matters
  • Managing all legal aspects of dispositions, including scope of work for external counsel, input on diligence process, managing transaction legal documentation and execution

    • Other roles

  • Supporting new product / investment initiatives e.g. Providing input from a transaction process/ deal execution perspective, exploration of opportunities in new jurisdictions
  • Contributing to investor DD/ enquiries relating to legal issues, transaction/ internal/ execution processes

    • Work Experience / Knowledge:

  • Qualified lawyer licensed to practice law in the U.S., U.K., Australia and/or Hong Kong
  • [6+] years’ post-qualification work with a leading international law firm, with a focus on real estate
  • In-house transactional experience (or secondment experience) a plus, but not required
  • Transaction experience across multiple markets in APAC (emphasis on Australia, Singapore, China)
  • Experience across a combination of Core, Value-add, Debt strategies is desirable
  • An understanding of tax and structuring of investments
  • Experience in structured real estate vehicles (e.g., REIT’s) and/or real estate investment funds is an advantage
  • Chinese drafting skill preferred
