    The Company Secretarial function leads, develops and manages corporate governance throughout the Group. As principal advisors to the boards of directors on corporate governance matters, the team also holds responsibility for establishing and managing stock exchange listings; directing and managing shareholder meetings and equity raisings, and representing Group interests in the development of laws and regulations.

    We are currently seeking a high calibre professional to join our team as a Senior Company Secretarial Assistant.

    Principal Responsibilities

  • Provide end to end corporate governance and secretarial support to a number of HSBC Group subsidiaries and associates, including attending and drafting minutes of board/committee meetings as required
  • provide support to relevant board chairman, directors and senior management as appropriate
  • support compliance with the relevant requirements under the Hong Kong Companies Ordinance, Banking Ordinance, Securities and Futures Ordinance and other applicable regulations and requirements
  • contribute to the development of procedures and control processes that comply with the HSBC Group policies and reduce operational risk
  • contribute to process enhancements to deliver efficiencies and drive performance standards
  • Requirements
  • Member of The Hong Kong Chartered Governance Institute
  • Proven corporate governance and corporate secretarial experience with a professional firm, bank or listed company in Hong Kong
  • Familiarity with the relevant requirements under the Hong Kong Companies Ordinance, Banking Ordinance, Securities and Futures Ordinance, and other applicable regulations and requirements
  • High level of attention to detail with good judgment and initiative
  • A strong team player with excellent communication and interpersonal skills
  • Excellent written and spoken English and Chinese
